THIS SERVICE AGREEMENT (the "Agreement")

BETWEEN

CLIENT:

"Duodecad IT Services Luxembourg S.à r.l.", with registered address at 44, Avenue John F. Kennedy, L-1855 Luxembourg, Grand Duchy of Luxembourg, registered in the Luxembourg Trade and Companies Register under the number (R.C.S.) B 171.358, with a registered capital of EUR 12 500 (hereinafter referred to as "Client")

and

The individual hereafter referred to as the "Model"

BACKGROUND:

The Model has accepted and signed the Model/Studios Terms and conditions on LiveJasmin.com (the "T&Cs") in order to provide online entertainment services to the users of LiveJasmin.com, a website operated by the Client (the "Website" and the "Services" where relevant).

In order to increase the quality of his Website and its offer towards a specific audience, the Client has launched a study program (the "Program"). The aim of such Program is for assessment purpose, market study of the North American market as regards the provision of online adult entertainment services.

In this respect, the Client has requested the participation to the program from the Model (the "Participation").

The Duration of the Program can discretionarily be adjusted and determined by the Client based on the results.

The Model has agreed to participate to the Program.

Therefore the Parties have agree on the conditions set out below.

The Client and the Model (individually the "Party" and collectively the "Parties") agree as follows:

1 - ELIGIBILITY TO THE PROGRAM BY THE MODEL

The Participation of the Model to the program shall be made under the following conditions

• The Model shall register with US or Canadian ID (passport). However Models who are based in California are not authorized to participate in this Program
• The Model with Female Gender can participate in the program while Males or Transgenders cannot.
• The Model has to be contacted by dedicated department with invitation to the Program in MSC Center
• The Model shall have an approved account
• The Model shall not have any income from the last 6 months on the Website prior to the acceptance of this Agreement
• The Model shall download the Model Center Messenger app for mobile and/or the JasminCam app for desktop
• Model shall be online and be available for interacting with the users.

2 - CONTENT OF THE PARTICIPATION

By being eligible and agreeing to participate to the Program, the Model has to comply with the following requirements:

The Model shall be online and be available for interacting with the users on free chat area of the Website.

The Model shall choose to be online on his/her own initiative with no conditions related to the time and the duration of his/her availability.

The Model is however requested, when online, to appear in front of his/her camera and comply with the conditions of the T&Cs.

The behavior of the Model while being online shall be appealing, entertaining and complying with the values and standard promoted by the Website.

In participating to the Program, the Model undertakes not to take any action which is intended or would reasonably be expected, to harm the reputation of the Client or which would reasonably be expected to lead to negative publicity at the expenses of the Client.

The Model further understands and accepts that while being online he/she will be subject to a particular scrutiny and might be, from time to time, subject to specific tests and questions from the support and quality assurance department.

3 - Payment

For his/her participation to the Program the Model shall be entitled to an amount of USD-20/hour (Twenty dollars per hour).

A non-completed hour shall not be considered as a full hour and will not be compensated.

The payment of the Participation Fees shall be made in accordance with the customary closure period already applicable on LiveJasmin.

4 - SPECIAL INCENTIVE

As a special incentive for participating to this Program, the Client grants a signup option of 500 USD to the Model (the "Option")

Once the Model has reached a threshold of USD-500 earning under his/her account, the option shall be validated and the Client will pay the equivalent amount to the Model.

5 - STARTING DATE, DURATION AND TERMINATION OF THE AGREEMENT

Parties agree that this Agreement will start at the date of acceptance of the Agreement online by the Model and if contacted by dedicated department with invitation to the Program in MSC Center.

The Agreement shall be terminated at the end of the Program.

The Agreement can be terminated at any time upon closure of the Model’s account for any reason by either Party pursuant to the T&Cs.

Either Party can terminate this Agreement with immediate effect after three days’ notice for a breach of an essential duty under this Agreement which remained uncured.

The Agreement can also be terminated by the Client with two weeks notice without reasons.

6 - OWNERSHIP

In consideration of the compensation paid to the Model, the latter hereby grants to the Client all rights of every kind and nature, irrevocable and exclusive, in whatever stage of completion as may exist from time to time, to produce, perform, exhibit, publicize and exploit the content made pursuant to this Agreement in whole or in part, throughout the universe and in perpetuity, in all media now known or which may hereinafter be devised, including (i) all rental, lending, fixation, reproduction, broadcasting (including satellite transmission), distribution and all other rights of communication by any and all means, media, devices, processes and technology; (ii) the rights to adapt, rearrange and made changes in, deletions from and additions to, such Advertising, and to use all or any part thereof in new versions or adaptations.

7 - INTELLECTUAL PROPERTY

With regard to the intellectual property rights pertaining to the content made pursuant to this Agreement, the Model hereby expressly agrees and acknowledges to be bound at all times by the intellectual property rights clauses of the T&Cs.

8 - INDEPENDENT CONTRACTOR

It is expressly agreed that the Model is acting as an independent contractor and not as an employee.

The Parties further acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service. The Client is not required to pay, or make any contributions to, any social security, local, state or federal tax, unemployment compensation, workers’ compensation, insurance premium, profit-sharing, pension or any other employee benefit for the Model during the Term. The Model is responsible for paying, and complying with reporting requirements for all local, state and federal taxes related to payments made to the Model under this Agreement.

9 - Notice

All notices, requests, demands or other communications required or permitted by the terms of this Agreement will be given in writing, including electronic mail, and delivered to the Parties at the addresses listed above, or to such other address as either Party may from time to time notify the other.

10 - REPRESENTATIONS/WARRANTIES

The Model hereby represents and warrants that:

(i) neither the Model’s Participation, nor any use thereof under this Agreement, will violate any law or infringe upon or violate the right of any third party;

(ii) neither the Model nor its services are subject to any rights of third parties or any restrictions;

(iii) no approvals of any kind are required to be procured by the Model to enable the Client to exploit the rights granted in accordance with the terms of this Agreement and that if any third-party approvals are required for any services or content, the Model has obtained the necessary approvals to any third parties for the rights granted hereunder.

Additionally, the Model warrants and represents that the content of the Participation, in part or all, shall be wholly original except as to matters within the public domain and materials inserted by the Client and shall not infringe upon or violate the rights of privacy or publicity of, or constitute a libel or slander against or violate any common law or any other rights of, any person, firm, or corporation.

11 - Miscellaneous

Any matter not expressly regulated by this Agreement shall be deemed regulated by the TCs. In case of discrepancy between the Agreement and the Model T&Cs, the conditions of the Agreement shall prevail.

12 - ENTIRE AGREEMENT

This Agreement together with the T&Cs outlines the rights and obligations of the Parties hereto.

The Model acknowledge having read this Agreement and hereby accepts to be bound by its terms.
